Question by Agham: What is better state to form LLC at USA for foreigner/alien resident?
Hello all,

I have several question, but i will tell my story first.

I live in Indonesia, have a passport and never come to usa. I have business in distribute branded apparel to indonesia and make own design of cloth. I have a plan to make LLC at usa because this serveral reason:

1. I will more trusted when i use US LLC when deal with branded apparel since indonesia got blacklisted at several apparel.
2. I am deal in USD, so better i register llc and bank account and merchant at US so for easier in accounting and Indonesia TAX. I mean, if base in indonesia, when i apply a merchant here, all charge must in IDR, and its take cost again of currency converter.

And i hear that foreigner can easily established LLC in US and i want to ask about tax system at US so i don’t fall in another of tax trap.

My question is:

1. Its true that only at DELAWARE that allow Foreigner form LLC and just pay FIXED TAX or called franchise tax? no tax count by % of net profit?
2. Any other suggestion of state for me? And should i have address at that state to established LLC at that state?
3. I have a address at Callifornia (just like PO BOX not real home). What is better, registered LLC with CA address or Indonesia Address?
4. What is registered agent function?
5. I am know think to use legalzoom.com services. do u have another suggestion of formation services? (include registered agent too)

I would strongly suggest that you retain both a US attorney and a US tax expert, a CPA or EA, before proceeding. Just a few pitfalls to consider:

A non-resident alien operating outside of the US and selling goods to US buyers incurs no US tax liabilities. However if you create a legal entity in the US such as an LLC or corporation then any profits become effectively connected to the US and you will have to pay US income taxes on the profits.

Any goods that are blacklisted or banned in the US will be banned regardless of your creation of a US legal entity.

Don’t even think of using some service such as Legalzoom.com without consulting with an attorney first. They are not attorneys and cannot give you legal advice. They deliver a lot of promises of what an LLC or corporation can do for you but a lot of their sales pitch isn’t factual. If you screw up and get it wrong, they will have no liability to you whatsoever.

Question by Colbert: Are my views closer to republican or libertarian?
Sorry it’s so long. Hopefully It can help me sort through whether I need to register as a republican or a libertarian.

I think the responsibilities of the federal government are raising an army, delivering the mail, coining money, negotiating with other countries, overseeing the infrastructure and energy availability, do a census every decade. That’s about it. The nanny state is a horrible failure and is totally unnecessary.

I think America should commit itself 3 goals: paying off the national debt, finding cures for cancer, and becoming and staying energy independent.

I am pro-life. Oppose abortion unless the pregnancy threatens the mother’s life. Like slavery, this is a situation that is probably only resolvable trough the constitutional amendment process.

I have no problem with marijuana being decriminalized because so far, people haven’t died from marijuana poisoning like other drugs. I’d also like to see steroids and payote decriminalized.

I think people should be allowed to invest their social security in a Roth IRA. And it should be more like a savings and investment plan people own. Not money we pay in on so congress can dip into it as they see fit.

I support a “his body his choice law” that would set an age of consent so a baby couldn’t be circumcised. And I know there will be religious objections to this one. But we don’t let the Muslims cut the clitorises off of baby girls, we don’t have to tolerate the Christians and Jews cutting the foreskin off of babies. If a person of age requests one, fine. But don’t it to a person to young to consent.

I don’t think the FCC has any business deciding what content is OK and what is indecent. That should be left to the viewers and listeners at home.

Just like ignorance in the law is no excuse, I think “the media made me do it” is no excuse for commuting a crime. No jury should entertain the idea that a rap song or a video game made someone go shoot somebody. Human beings have brains and are not empties out there walking around awaiting instructions.

I oppose helmet laws for motorcyclists as well as seatbelt laws for adults.

I think capitalism is the best tool of combating poverty and improving the quality of life the human race has found so far. It isn’t perfect, but is better than all the other economic systems.

I don’t think a church should have to worry that the IRS is going to come and take away their tax-exempt status because they say things the government doesn’t like.

I think education is a state level responsibility and there should be no federal department of education. Schools don’t work like fast food franchises. What works for a school in San Francisco might not work for a school in Utah. The school should be funded and run by the local school board and the state board of education. Not by someone in DC 4000 miles away.

I don’t think we should have to spend so much money running US military bases all over the world. We need to start closing the ones in stable regions where the threat of war in the next 10 to 20 years is extremely unlikely.

I oppose public bailouts of the private sector.

I think a state should be able to decide who is married. I’m not for the amendment to tell the far left states, they can’t decide who is married. And don’t think states should be forced to accept gay marriage from other states.

I think eminent domain is a horrible thing that shouldn’t be invoked unless absolutely necessary.

I support Internet neutrally and oppose bandwidth caps.

I think the endangered species act should be repealed because it doesn’t protect the animals, it just gives the government control of other people’s land.

I oppose closed party primaries. All they are doing is attempting to capture them into their party. All I think a political party is, is a private organization that runs people for public office.

I think private citizens’ caring concealed weapons is a good thing that detours crime. And gun laws are counter productive because only the good guys care to follow them. The bad guys do what they want anyway.

I am totally fine with adjusting the drinking and gambling age to 18.

I support women’s rights to breastfeed in public places.

I support hunter’s rights.

I think an era where a black man can be elected President of the United States proves we don’t need affirmative action laws.

There is no reason why congress needs to regulate Major League Baseball or any other sport. That is not the role of government. Sports are private organizations owned by businessmen and entertain the public. And I don’t buy that preserving the integrity argument. What would congress know about integrity anyway?

After a natural disaster, government has a responsibility to rebuild public property and provide emergency aid. However, government should not be rebuilding private property.

America needs to be more like France and use more nuclear power. For Pete’s sake, 80%

Question by Mark S: Offered a new position… should I change jobs in a bad economy?
I am 24 years old and currently working for a company as a Sales Coordinator. My bills are minimum, still live at home and only have a car payment on top of credit card bills. I get paid a decent amount of money enough to pay the bills and then some, however, recently they did cutback hours a tiny bit but said they will return it to us the start of October. I don’t fear I will be losing my job by any means. As far as my position goes in the company I sit behind a desk on a computer all day not my ideal situation of being in a work place. I have been offered a position as a manager by a franchised company who is opening their doors late August. The position is great, I am getting paid more and I know I will enjoy it. My only fear is if the company does not pull through and goes under. This type of business is all based on location and flow of customers. I have a great resume and an extensive sales background I just fear the fact of switching position and possibly losing the new position down the road when I have something stable. What do you think? Should I take the new position?

The one crutch that you do have is that you live at home so that will help you in case the company does go “under”. But if its a job you love, one that makes you great money and one that gets you to be independent of your parents…then I would take the risk and go for it. Jobs will come and go throughout life but think of how many people actually “like” their job. I would do it.

I am soooo fed up with trying to find a REAL home based position that has no fees, no start up costs and will really pay you. I had luck with a few companies that since have gone out of business. They all ran the James Brausch Franchise system. I really enjoyed doing this work but can not find any more websites that offer this position. I hear so many bad things about James Brausch and Diego Norte but I know there has to be some honest people who have bought his franchise and are using it and actually pay the workers that do the work for you. I just would like to know some websites that offer this position.

I am a stay home mom who was not able to start a business because they ask for a fee.I was then introduce by someone to a business and it was a fee of one time / and also receive a free gift. Now i am making enough money and enjoy also.

I oppose the digital millenium copyright act. I would like to go back to the copyright laws of previous eras. Like you can copyright something for 14 years and renew it once. Then it goes into public domain. Which was our first copyright law. Also I think “fair use” needs to be expanded, not reduced.

I don’t think “For the children” is an acceptable shied for unpopular decisions.

I still think it’s stupid that in some places, nudism on private property is banned. If someone wants to visit a private nude camp or beach to run around naked, fine by me.

I think topless laws are stupid also because men are allowed to run around bare chested. So far, has anyone on earth been damaged by seeing a breast?

I think most of the laws that limit alcohol; fireworks, strip clubs, etc are stupid. Just let people do what they want as long as they don’t hurt anyone else.
I think we need to replace the income tax system with either a national sales tax or a flat tax. Our current system is unfair.

I support open transfer within our public schools.

We need to put troops along the southern boarder to backup the boarder patrol. I would like to see our southern border secure and require Mexican immigrants to follow the same process as ones from everywhere else in the world. Also, we need to raise fines for those who knowing and willingly hire illegal immigrants.

I support a strict 2 strikes and you’re out drunk driving law. Mandatory prison and permanent removal of your driving privileges if you went through it once and didn’t learn your lesson.

90% of the time, I don’t think the schools need more money. I think they need to learn to use what they get. Private schools teach kids more with less money. Because if a teach doesn’t do a good job, they don’t get to stay. How about that? Just like the rest of us.

How important are small businesses to the U.S. economy?
Small firms:

• Represent 99.7 percent of all employer firms.
• Employ just over half of all private sector employees.
• Pay 44 percent of total U.S. private payroll.
• Have generated 64 percent of net new jobs over the past 15 years.
• Create more than half of the nonfarm private gross domestic
product (GDP).
• Hire 40 percent of high tech workers (such as scientists, engineers, and computer programmers).
• Are 52 percent home-based and 2 percent franchises.
• Made up 97.3 percent of all identified exporters and produced
30.2 percent of the known export value in FY 2007.
• Produce 13 times more patents per employee than large patenting firms; these patents are twice as likely as large firm patents to be among the one percent most cited…….AND…..

So what businesses are not too big to fail? Best I can tell, it must be small businesses. And why should we worry if small businesses fail? Let’s take a look at the numbers.

A recent study by the U.S. Small Business Administration’s (SBA) Office of Advocacy counted 26.8 million businesses in the United States. Of those, 99.9% have fewer than 500 employees and as such are considered small businesses. This means that only one-tenth of one percent have more than 500 employees. Yet, more notable is the fact that according to the U.S. Census Bureau, 98.2% have fewer than 100 employees. And if you are impressed with that number, you may be amazed to learn that in the same report it states that 89.3% of the businesses in America have fewer than 20 employees! Bear with me for just a moment more as I drive this point home. Even more amazing is the fact that 78.6% have fewer than 10 employees and 60.8% have fewer than 5 employees.

Are small businesses just an overflow of the work of big business or do small businesses carry their own weight? Let’s look at the facts.

According to Census Bureau data on high-patent industries, 98% of the companies patenting telecommunications technology employ fewer than 500 people. In the software publishing industry, 97% of the companies patenting software employ fewer than 500 people. In aerospace products and parts manufacturing, the percentage is 92%. In pharmaceuticals and medical manufacturing, it is 90%. In semiconductor machinery manufacturing, 87% of the companies that patent technology employ fewer than 500 people.

It appears self-evident that small business carries most of the weight when it comes to American innovation and job creation. So, why do we allow so many to fail?

Maybe because failure many times leads to innovation. According to Wall street Journal guru, Clayton Christensen, the road to innovation is paved with failure. 93% of all innovation starts off in the wrong direction. Almost everyone knows that the failure rate of small business is legendary. However, after failure, the most successful entrepreneurs keep picking themselves up and starting over until they get it right. Many big businesses keep throwing resources at failing initiatives instead of giving up and going in a different direction. Most small businesses, classically strapped for cash tend to respond quickly to failure by changing directions.

Network marketing is a business scheme whereby you “recruit” users or sellers of the product and subsequently take a % of profit from the product’s sales. Similarly, the person you recruit also can recruit more person under him or her and gain the same benefit. Commission schemes of different MLM (multi level marketing) company differ but their general principal are the same

Normally these business work by way of mouth rather than advertising, which is why you have no idea they exist. Amway by far is the largest and the most established network followed by many other. Some people do consider these business as pyramid scheme but in essence these company “convert” advertising dollar to revenue for consumers who participate in their scheme

I owned a nails home based business, being a single mom, for 14 years.Then, my health collapsed from so much
inhalation of toxic nail products, back hurt, etc.
I developed some products that are 100% ecological, for the body, hands and a creme for the eyes. I got the concept, I created the image and the brand name and the method about a completelly natural-ecological approach to show women another way for the body care, more gentle and in tune with the new ecological movement.
The brand name is not yet registered as aTrade Mark
because I lack the funds. The name is catchy, feels good when you pronounce it and embraces the entire concept for wherever you look into the products or services the name fits with all of them like a glove. I think this concept has the elements necessary for being franchised and I need legal protection.
How do you find and contact benefactors, people who finance good projects to help others to start. I have read, heard and I guess that is possible.

First thing that you want to do is develop a business plan. You are going to have to sell your idea to an investor in order to get the money to secure and make the product that you intend to sell. Once you have completed that, you will need to begin searching for investors – possibly angel investors, but you would probably be better off with a small bank loan to start yourself off.

It sounds to me like you have a wonderful idea, that you probably should protect as soon as possible with the us patent office (www.uspto.gov). You may find it easier and more efficient (albeit more expensive too) to hire a patent attorney to do the legal leg work for you.

Question by csi fan: If you are a small business; starting to franchise all over what insurance company shold I go to in dif states?
I am a new business and we have under ten employees but we are starting to franchise like Mcdonalds where we could be sprouting up anywhere; what insurance company should I use since we will be in different state I want to have some kind of medical plan; our home base will probably be oklahoma but what do we do when we start having franchises start in different states; we will have under thirty people so i guess we are considered a small business; does anyone have any advice on what insurance company and what kind of plan i would go for and the cost to me for each employee; any advice would be appreciated

I don’t believe you understand what “Franchise” means. You are allowing another individual to use your business model and he will pay you monthly royalties for that right. Why would you need insurance? The franchisee will have to get their own insurance. Are you really meaning “Expansion”? Talk to who you have insurance with now and see what they are capable of covering.
